1. Definitions
"Service" means the CueConnect web application, related APIs and any associated documentation and support. "Customer" means the business or organisation on whose behalf a workspace is created. "User" means an individual authorised by the Customer to access the Service. "Salon Client" means an end client of the Customer whose information is entered into the Service. "Customer Data" means data, content, files and records submitted by the Customer or its Users to the Service.
2. Eligibility
You must be at least 18 years old and capable of forming a binding contract in your jurisdiction to use the Service. By accepting these Terms on behalf of a business, you represent that you have authority to bind that business.
3. Accounts & passwords
You are responsible for maintaining the confidentiality of account credentials and for all activity that occurs under your account. You must choose a strong password, keep it confidential, and notify us promptly of any suspected unauthorised access. Sharing a single user account among multiple people is not permitted; each individual must have their own login.
4. Subscriptions & billing
The Service is provided on a subscription basis. Fees, billing frequency, included features and usage limits are described at the point of purchase or in an order form. Subscriptions renew automatically for successive periods until cancelled.
Future Stripe payments. When CueConnect enables card payments through Stripe, card information will be collected and processed by Stripe under its own terms and privacy policy. CueConnect does not currently store full card numbers. Additional payment terms may be presented at the time card payments are enabled.
Unless required by law, fees are non-refundable. Taxes, where applicable, are the Customer's responsibility.
5. Data ownership
As between the parties, the Customer owns all Customer Data. The Customer grants CueConnect a limited licence to host, process, transmit and display Customer Data as necessary to provide the Service, to prevent or address technical or security issues, and to comply with law.
CueConnect will not access Customer Data except as needed to provide, secure and support the Service, or as required by law.
6. Customer responsibilities
- Provide accurate account and billing information and keep it up to date.
- Ensure that Users comply with these Terms.
- Obtain any consents required from Salon Clients (including SMS consent) before entering their information into the Service or sending them messages through the Service.
- Comply with all applicable laws, including data protection, consumer protection and telecommunications laws.
- Configure the Service (roles, permissions, retention) in a way appropriate to your business.
7. Salon responsibilities
Salons acting as the data controller for their Salon Clients are responsible for the accuracy and lawfulness of the information they enter, for responding to privacy requests from their Salon Clients, and for maintaining any records required by applicable law (for example, tax and accounting records).
8. Acceptable use
You must not misuse the Service. Prohibited activities include those listed in our Acceptable Use Policy, which is incorporated into these Terms by reference. Violation may result in suspension or termination.
9. Availability & maintenance
We aim to make the Service available on a continuous basis. Planned maintenance will be scheduled where possible to minimise disruption; we may perform emergency maintenance without prior notice. The Service is provided on an "as is" and "as available" basis and we do not guarantee uninterrupted or error-free operation.
10. Backups
CueConnect performs operational backups of the underlying database for disaster recovery purposes. Operational backups are not a substitute for the Customer's own export or record-keeping practices. Customers are encouraged to export important records periodically.
11. Termination
Either party may terminate a subscription at the end of the then-current billing period. We may suspend or terminate access immediately if you materially breach these Terms, if required by law, or to protect the security or integrity of the Service.
Upon termination, access to the Service ends. Customer Data may be retained for a limited grace period to allow reactivation or export, then deleted or anonymised in accordance with our Privacy Policy.
12. Intellectual property
CueConnect and its licensors own all right, title and interest in the Service, including all software, designs, trademarks and documentation. Except for the limited right to use the Service in accordance with these Terms, no rights are granted to you.
13. Limitation of liability
To the maximum extent permitted by law, CueConnect and its suppliers are not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenues, data or goodwill, arising out of or relating to the Service. Our aggregate liability for any claim arising out of or relating to the Service will not exceed the fees paid by the Customer for the Service in the twelve (12) months preceding the event giving rise to the claim.
14. Indemnification
The Customer will indemnify and hold harmless CueConnect from and against claims, losses and expenses arising out of (a) Customer Data, (b) the Customer's use of the Service in violation of these Terms or applicable law, or (c) messages sent through the Service to recipients from whom the Customer had not obtained appropriate consent.
15. Dispute resolution
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules. The parties will attempt in good faith to resolve any dispute informally. If a dispute cannot be resolved informally, it will be resolved in the courts located in that jurisdiction, unless applicable law requires otherwise.
16. Changes to the Service
We may modify or discontinue features of the Service at any time. Where a change materially reduces the functionality of a paid subscription, we will provide reasonable notice. Continued use of the Service after a change takes effect constitutes acceptance of the change.
